1. Scope
These Terms of Use (“Terms”) govern the relationship between SIMPLAFY LTDA, Brazilian tax ID (CNPJ) 41.209.892/0001-12, headquartered in Brasília/DF, Brazil (“Simplafy”), and the user or contracting company (“Customer”) in the use of the products and services offered by Simplafy.
Products covered by these Terms: Simplafy Hub, Simplafy Saúde, public APIs, integrations and the institutional website simplafy.com.br.
2. Definitions
- Platform: the set of software, APIs and interfaces made available by Simplafy.
- Account: the Customer’s registration, including users, roles and permissions.
- Customer Content: data, messages, media and any information entered into the Platform by the Customer or its end users.
- Plan: the contracted package, with scope, limits and price defined in the Order.
3. Registration and accounts
The Customer is responsible for the accuracy of registration information and for safeguarding credentials. All activity performed with valid credentials will be attributed to the Customer.
The account starts after the plan is chosen; on paid plans, after payment is confirmed on the card; on the Livre plan, immediately, without a card.
3.1. Users and roles
The Customer may create additional users and assign them roles (Admin, Operator, Viewer). The Customer is responsible for periodically reviewing access and deactivating inactive accounts.
3.2. Account security
Two-factor authentication and strong passwords are recommended. Credential compromise must be reported immediately to fy@simplafy.com.br.
3.3. Use through AI assistants
A user may authorize a third-party AI assistant (such as ChatGPT) to use the Platform on their behalf. The assistant acts with that user’s credential and within that user’s permissions, and everything it does with that credential is attributed to the Customer, as if done by the user. The Customer is responsible for choosing trustworthy assistants, reviewing the actions they perform and revoking access when no longer needed. Data sent to the assistant is then processed by the AI provider under its own terms. Full rules on the Simplafy MCP page.
4. Permitted use
The Customer may use the Platform for the purposes described in the Order, within the contracted limits (message volumes, integrations, users).
YouTube integration. By connecting a YouTube channel to Simplafy Hub, the Customer uses YouTube API Services and agrees to the YouTube Terms of Service (https://www.youtube.com/t/terms) and the Google Privacy Policy (https://policies.google.com/privacy). How this data is handled is described in section 12 of our Privacy Policy.
5. Prohibited conduct
The Customer may not, directly or through third parties:
- Reverse-engineer, decompile or attempt to obtain the Platform’s source code;
- Use the Platform to send SPAM, unauthorized communications or unlawful content;
- Upload data without an adequate legal basis (e.g. contact lists without consent);
- Use the Platform for purposes other than those set out in the Order;
- Allow access by unauthorized users.
6. Intellectual property
All rights to the Platform, including software, design, trademarks and documentation, belong to Simplafy. These Terms do not transfer any ownership rights.
Customer Content remains the property of the Customer. Simplafy receives a limited, non-exclusive, revocable license to process such content solely for the provision of the services.
7. Payment and renewal
Plans are contracted in monthly or annual cycles, with automatic renewal unless notice to the contrary is given 30 days in advance. Default exceeding 5 (five) days authorizes suspension of the service, with a 5 (five) day cure period; if the default persists for more than 60 days, the contract may be terminated for cause.
Suspension for non-payment does not apply to the Livre plan, which has no monthly fee.
Current prices are on the plans page and on the checkout screen; changes apply to new purchases and to plan switches made after the change.
| Plan | Billing | Adjustment |
|---|---|---|
| Monthly | Bank slip / card / Pix | Annual IPCA index |
| Annual | Bank slip / Pix / invoice | Annual IPCA index |
7.1. Plans and what each one includes
Plans. Simplafy Hub is offered in the plans Livre (Free), Essencial (Essential), Equipe (Team), Profissional (Professional) and Escala (Scale). What each plan includes (users, agents, WhatsApp channels, knowledge base storage, active journeys, included AI credit, included campaign emails, use of free models and use of your own key) and the price of each plan are published on the plans page and on the checkout screen, and apply as of the date of purchase. Simplafy may change the catalog; the change applies to new purchases. Customers who already subscribe keep the price they contracted; when switching plans, the price of the destination plan in effect at the time of the switch applies.
Livre (Free) plan. The Livre plan has no monthly fee and does not require a card at sign-up. It does not include AI credit or campaign emails: using managed AI and sending campaigns depend on the customer buying credit or packs (the latter when available on the checkout screen), by card or Pix, whenever they wish. The Livre plan is not a trial period and does not expire; its limits are those published on the plans page.
Limits. The limits of each plan are enforced by the platform. When a limit is reached (for example, number of users, agents or active journeys), creating a new item is refused with a notice; nothing that already exists is deleted or turned off without your command. Switching to a smaller plan is only completed when the organization fits within it, in the next cycle.
Active journeys. Each plan has a maximum number of journeys active at the same time: Livre 1, Essencial 3, Equipe 10, Profissional 30, Escala unlimited. When the limit is reached, activating a new journey is refused with a notice. Journeys already active on the date of the change are not paused.
7.2. AI credit and email packs
AI credit. Paid plans include a monthly AI credit, renewed every cycle and not cumulative. Additional top-ups are purchased by the customer (card or Pix), are valid for 90 days from payment confirmation and are consumed in order of nearest expiration. Managed AI use is charged to the credit according to the actual consumption reported by the provider, with the price per plan published on the checkout screen; with no balance, use is interrupted and never charged afterward. Use with the customer's own key (on the plans that allow it) does not consume credit.
Campaign and journey emails. Each paid plan includes 100 marketing emails per month (campaigns and journey email steps sent from the organization's domain), renewed on the first day of each month and not cumulative; the Livre plan includes no emails. Above the quota, when available on the checkout screen, the customer buys prepaid email packs, in the quantities and prices published on the checkout screen, valid for 90 days from payment confirmation and consumed in order of nearest expiration. Once pack purchases are available, the customer will be able to turn on automatic renewal, choosing the pack and a monthly purchase limit; Simplafy warns when the balance is running low and when a renewal fails. With no email balance, the campaign is not sent and the journey records the failure of the step; nothing is sent for later billing. Emails from Hub itself (invitations, notices, billing) and messages sent through the customer's own connected mailbox do not count toward the quota.
Sending capacity. Campaign sending respects the platform's daily capacity and the reputation of the customer's domain; campaigns larger than the day's capacity are sent over the following days, and the estimated time is shown before sending.
Refunds. Unused email packs and top-ups follow the same withdrawal and cancellation rules as credit top-ups (refund of the paid, unused and still valid balance). A partially used pack is refunded in proportion to the unused part in the case of withdrawal within the legal period.
8. SLA and availability
Simplafy commits to a minimum monthly availability of 99% for the Hub and 99.9% for Health, excluding scheduled maintenance windows — announced 24 hours in advance for the Hub and 72 hours for Health.
Operational details — response times, service credits, escalation — are set out in the SLA Addendum attached to the contract.
9. Limitation of liability
Simplafy is not liable for indirect damages, loss of profits or data loss resulting from misuse by the Customer, third-party failures (providers, gateways) or force majeure.
Simplafy’s total liability, in any event, is limited to the amount paid by the Customer in the 12 months preceding the triggering event.
10. Termination
The Customer may terminate the contract at any time by notifying Simplafy, regardless of the non-renewal notice in Clause 7. For annual plans, any remaining balance is handled as set out in the specific clause of the Order.
Simplafy may terminate in the event of a material breach not cured within 15 days of notice.
On the Livre plan, the customer may delete the organization at any time; the paid, unused balance of top-ups and packs is refunded according to the refunds clause.
11. Changes to the Terms
These Terms may be updated. Material changes will be communicated 30 days in advance by e-mail and in-Platform notification. Continued use after that period constitutes acceptance.
12. Governing law and jurisdiction
These Terms are governed by the laws of Brazil. The courts of Brasília/DF have exclusive jurisdiction over any dispute, to the exclusion of any other, however privileged.
